General Terms and Conditions (GTC)
1. Identification of the parties and introductory provisions
1.1 Seller:

1.2 Buyer:
A natural or legal person who concludes a Contract with the Seller. Buyers are divided into:

Consumer (B2C): A natural person who, when concluding and performing the Contract, is not acting within the scope of his/her business activities.

Entrepreneur (B2B): A person who purchases products as part of or in connection with their business activity.
1.3 Online store:
Internet interface operated by the Seller at www.smartacoustic.cz.
1.4 Contract:
A purchase agreement or contract for work concluded between the Seller and the Buyer.
1.5 Precedence of the GTC:
These GTC are an integral part of each Contract. The use of any general terms and conditions of the Buyer is expressly excluded unless otherwise agreed in writing.
2. Product specifications and technical features (PET felt)
2.1 Dimensions and tolerances:
All technical dimensions of the products are given in millimeters (mm). The products are manufactured in accordance with the specified dimensional tolerances. If the dimensions of the delivered product fall within these tolerances, the product is considered to be in conformity with the Contract.
2.2 Material properties:
The Buyer acknowledges that PET felt, as the main production material, exhibits natural variations in color, fiber structure, density and texture. These deviations are due to the nature of the material and the manufacturing process (including permissible differences between individual batches) and are not considered a product defect.
2.3 Color:
The color representation on monitors and displays is for guidance only and may differ from reality due to device calibration or lighting conditions. For accurate color verification, the Seller strongly recommends ordering a physical sample before concluding the Contract.
2.4 Safety standards:
The purchaser is solely responsible for verifying that the product complies with local fire, building and safety regulations in force at the location of the intended installation. The seller is not liable for any damage resulting from installation in violation of these regulations.
3. Order and conclusion of the purchase contract
3.1 How to order:
The buyer places an order via the web interface or by email.
3.2 Conclusion of the contract:
The Contract is concluded when the Seller confirms the acceptance of the order for execution by e-mail (processing confirmation). Automatic confirmation of delivery of the order to the system is not considered confirmation of the conclusion of the Contract.
3.3 Right to cancel:
The Seller reserves the right to cancel the order if the Buyer provides incomplete information or if the production material is unavailable.
4. Custom manufacturing and prototyping (Customized Orders)
4.1 Technical documentation: For custom production (personalized products), the Buyer is obliged to provide complete technical documentation. The Seller is not responsible for errors resulting from incorrect or incomplete documentation from the Buyer.
4.2 Restrictions on withdrawal: For goods made to order, withdrawal from the Contract is not possible after the production process has begun.
4.3 Prototyping: For complex orders, the Seller recommends a prototyping process to verify aesthetics and functionality. If the Buyer decides not to carry out the prototyping process, he bears full responsibility for any differences between his expectations and the final product and waives the right to claim for this reason.
5. Payment terms and retention of title
5.1 Currency and prices:
Prices are quoted in EUR.
5.2 New B2B customers:
For the first three orders of a new B2B entity, 100% advance payment is required based on a proforma invoice.
5.3 Maturity:
The standard invoice maturity is 7 calendar days, and for amounts over EUR 1,000, 14 calendar days. The maturity period is calculated from the date of invoice issuance.
5.4 Reservation of ownership:
The goods remain the property of Smart Acoustic sro until the purchase price is paid in full.
6. Delivery conditions and transfer of risk of damage
6.1 Delivery clause:
Unless otherwise agreed, delivery is made EXW (Ex Works) Trnava. The risk of damage passes to the Buyer at the moment the goods are handed over to the first carrier. Any assistance from the Seller during loading is provided at the Buyer's risk.
6.2 Inspection and reporting of damage:
The buyer is obliged to check the shipment upon receipt in the presence of the courier. Damage
during transport, it must be reported within 7 calendar days with photo documentation and a damage report.
7. Complaints and warranty conditions (Claims)
7.1 For B2B:
Liability for defects (complaints) pursuant to Section 422 et seq. of the Commercial Code of the Slovak Republic is expressly excluded and replaced by a contractual warranty of 12 months for manufacturing defects, starting from the date of invoice.
7.2 For B2C:
Legal liability for defects is governed by the applicable Slovak consumer protection regulations.
7.3 Warranty Exclusions: The warranty does not apply to:

Normal wear and tear, natural aging process of the material and dirt resulting from use.

Incorrect installation contrary to the instructions.

Mechanical damage or exposure to direct UV radiation and moisture.

Temperature exposure outside the range of -20°C to +65°C.
8. Withdrawal from the contract and consumer rights
8.1 B2C law:
The consumer has the right to withdraw from the Contract within 14 days for standard products.
8.2 Expiration of the right:
The right of withdrawal expires for custom-made or personalized products.
9. Privacy and Cookies
9.1 Administrator:
The administrator is Smart Acoustic sro. Processing is carried out via Wix and Ecomail tools.
9.2 Retention period:
Data from contact forms is stored for a maximum of 1 year from the last communication.
9.3 Rights of subjects:
The subject has the right to access, rectification, erasure and objection. Complaints can be filed with the Office for the Protection of Personal Data of the Slovak Republic.
9.4 Cookies:
Administration is carried out through the Usercentrics system. The website uses technical, statistical and marketing cookies, including third-party cookies (in particular LinkedIn).
10. Illegal Content and the Digital Services Act (DSA)
10.1 For reporting illegal content within the user sections of the website, the following e-mail address is designated: info@smartacoustic.sk.
11. Final provisions
11.1 Governing law:
Law of the Slovak Republic.
11.2 Jurisdiction:
For disputes with B2B entities, the Seller's general court in Bratislava is competent.
11.3 Changes to the GTC:
The Seller reserves the right to change the GTC effective on the date of publication on the website.
